The “Direct” agreement is used when the producer hires the editor as an individual.  The “Loanout” agreement is used when the producer hires the editor through the editor’s loanout company.

Gentlemen:

This letter agreement (“Agreement”) dated as of _________________, 20__ shall constitute the agreement between ____________ (“Lender”), a ____________ corporation with Federal ID # __________, and ___________________ (“Producer”), with respect to the services of ___________ (“Employee”), whose principal place of residence is ___________, as Editor of the feature length theatrical motion picture titled “____________” (the “Picture”).

1.         Engagement:  Producer hereby engages Lender, and Lender agrees to lend, the artistic and professional services of Employee as editor of the Picture.

2.         Contingency:  Producer’s obligations hereunder are subject to (i) Lender and/or Employee providing Producer with all documents which may be required by any governmental agency or otherwise for Employee to render services hereunder, including,  without limitation, if applicable, a work visa and/or INS Form I-9 (Employment Eligibility Verification Form) completed to Producer’s satisfaction and original documents establishing Employee’s employment eligibility; and (ii) signature and delivery of this Agreement to Producer.

3.         Services:  During the Term, Lender shall cause Employee to render services exclusively to Producer.  Employee  shall render such services as may be required of persons employed in like capacity in first-class productions according to the custom of the motion picture industry and shall promptly and faithfully comply with all reasonable instructions, directions, requests,
