NON-DISCLOSURE AGREEMENT
This Non-Disclosure Agreement (“Agreement”) between _______________________ (“Recipient”) and _____________ (“Company”) relates to the disclosure by Company of certain proprietary and/or confidential information regarding Company and any and all of its related companies, subsidiaries and affiliates. As used in this Agreement, the term “recipient” includes any of Recipient’s affiliates, officers, directors and employees. Company wishes to protect its respective proprietary or confidential information being disclosed under this Agreement and, towards that end, the parties hereby agree and represent to each other as follows:
