The following, including the Standard Terms and Conditions attached hereto and incorporated herein by this reference, sets forth the agreement (“Agreement”) between _____________ (“Company”), located at _______________________________________ and _______________________ (“Artist”) for the writing services of Artist in connection with the referenced motion picture (“Picture”).

1.         CONDITIONS PRECEDENT.  Company’s obligations hereunder, including without limitation any payment obligations hereunder, are conditioned upon the following:

1.1       Company’s receipt of fully executed copies of this Agreement;

1.2       Artist’s providing Company with all documents which may be required by any governmental agency or otherwise for Artist to render services hereunder, including without limitation an INS Form I-9 (Employment Eligibility Verification Form) completed to Company’s satisfaction and original documents establishing Artist’s employment eligibility; and

1.3       Company’s approval of the chain-of-title and copyright status of all materials upon which the Picture is to be based and its receipt of executed documents (in form and substance satisfactory to Company) conveying to Company all right, title and interest in and to such materials.

2.         SERVICES.  Artist shall write and deliver to Company an original draft screenplay (the “Draft”) and one set of revisions thereof (the “Revisions”).  The Draft and Revisions (which may
