The following shall constitute the agreement between _______________________________, its successors and assigns (“Producer”) and __________________________________ (“Licensor”) for the use of the Materials described above in the motion picture currently known as “__________________________”(the “Picture”).
For good and valuable consideration, thereceipt and sufficiency of which are hereby acknowledged, Licensor hereby irrevocably grants to Producer the non-exclusive right to photograph, exhibit or otherwise reproduce and use the Materials as part of the Picture and to distribute, exhibit and otherwise exploit (and to authorize others to distribute, exhibit and otherwise exploit) the Picture and its related advertising, publicity and promotion (including, without limitation, “making of” and “behind the scenes” programs) incorporating the Materials throughout the world in perpetuity in all media and by all means, now known or hereafter developed.
Licensor warrants that Licensor is the sole and exclusive copyright owner of the Materials and any and all rights in and to the
